These terms and conditions shall apply to your use of the website located at http://navigator.irena.org. This website and related materials are referred to herein as "the IRENA Project Navigator".

By accessing and/or using the IRENA Project Navigator, you agree to the terms and conditions below. The International Renewable Energy Agency, referred to herein as "IRENA" and "we", reserves the right to update or otherwise change these terms and conditions at any time without notification. Use of the IRENA Project Navigator will be deemed in acceptance of the terms existing at that time.

1. Acceptable Use

1.1 You agree that your use of the IRENA Project Navigator will be in accordance with the following conditions:

(a) You will not (nor attempt to):

i. take any action that causes, or may cause, damage to the website or impairment of the performance, availability, accessibility or security of the IRENA Project Navigator or that causes unreasonable inconvenience or offence or disruption to IRENA staff or other users;
ii. use the IRENA Project Navigator in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity;
iii. upload or otherwise transmit any material, through the IRENA Project Navigator, including but not limited to any information or software containing a virus, Trojan horse, worm, keystroke logger, rootkit or other damaging or destructive component, or link to such harmful material;
iv. access or otherwise interact with the IRENA Project Navigator using any robot, spider or other automated means;
v. reverse engineer, decompile, copy or adapt any software or other code or scripts forming part of the IRENA Project Navigator;
vi. change, modify, delete, interfere with or misuse information contained on the IRENA Project Navigator and you will not attempt to disaggregate any data or statistics generated through the IRENA Project Navigator;
vii. upload, store or otherwise transmit any inappropriate content through the IRENA Project Navigator, including but not limited to content unrelated to renewable energy or project development, spam or solicitations regarding for-profit goods or services, or fraudulent activities.

(b) You agree not to evade bans or suspensions or otherwise disregard directions from the moderators or administrators of the IRENA Project Navigator.

1.2 IRENA reserves the right, at its sole discretion and with or without notice, to deny access to the IRENA Project Navigator or any portion thereof, or move or remove any content, in whole or in part, that it, in its sole discretion, decides are unacceptable, undesirable or in violation of these terms and conditions. IRENA may, with or without prior notice, restrict access to and/or delete the account of any user who abuses the Project Navigator or breaches or is believed to be likely to breach these terms and conditions or otherwise engages in any type of activity or purpose deemed by IRENA to be unlawful, improper or inappropriate.

1.3 For site security purposes, including to identify unauthorised access to the IRENA Project Navigator or any use thereof in breach of these terms and conditions, IRENA reserves the right, through the use of software programmes or otherwise, to monitor, intercept and disclose any transmissions using the Project Navigator, and to provide user information relating to suspected unlawful, improper or inappropriate conduct to appropriate authorities.

1.4 IRENA assumes no responsibility for the content posted on the Project Navigator by its users.

2. Accounts

2.1 We require you to register for an account in order to obtain access to certain information and certain functionality of the IRENA Project Navigator. When registering, you need to select a unique user name and password. You will also be requested to provide personal information such as your name, email and profession. You may modify your personal information by logging into your account which can be done through the homepage of the IRENA Project Navigator.

2.2 By creating an account:

(a) You agree to make sure that all details you provide during the registration process are truthful and accurate;
(b) You understand that any information you provide as part of such registration or that we otherwise collect about you through your use of the IRENA Project Navigator is subject to our Privacy Policy set forth below;
(c) You agree to be entirely responsible for any activity that occurs under your profile name, and to promptly notify us if you become aware of any unauthorized use of your account.

2.3 You must not use any other person's account to access the IRENA Project Navigator, unless you have that person's express permission to do so.

2.4 We may disable your account at any time in our sole discretion without notice or explanation.

2.5 You may cancel your account at any time in your sole discretion without notice or explanation by sending an e-mail to navigator@irena.org.

3. File storage

3.1 The IRENA Project Navigator allows you to upload and store content for the purpose of renewable energy project developments. You shall not use the IRENA Project Navigator as an online file storage system. Only files related to the renewable energy project development may be uploaded or stored by the users on the IRENA Project Navigator.

3.2 We reserve the right to manage the files uploaded or stored on the IRENA Project Navigator, including the right in our sole discretion, without notice or explanation, to remove any file if we believe that it does not comply with these terms and conditions.

3.3 The content you upload and store in the IRENA Project Navigator website will be treated in accordance with our Privacy Policy set forth below.

4. Intellectual property rights

4.1 Unless otherwise stated, the copyright and other intellectual property rights in the IRENA Project Navigator are owned by IRENA. Subject to paragraph 4.2, you are permitted to freely use, access, copy, share, download, reproduce, print and/or store the IRENA Project Navigator content, provided that all such content is clearly attributed to IRENA and bears a notation that it is subject to copyright by IRENA.

4.2 Content on the IRENA Project Navigator attributed to third parties may be subject to third-party copyright and separate terms of use and restrictions, including restrictions in relation to any commercial use. If you wish to reproduce any such third-party content, you must obtain the permission of the relevant third party contributor.

4.3 Without prejudice of the above, the copyright and other intellectual property rights in all original content stored by the users on the IRENA Project Navigator are owned by the relevant user.

4.4 Provided these terms and conditions are fully respected, you may include in your website hyperlinks to the IRENA Project Navigator without having to seek specific permission. However, such links to the IRENA Project Navigator may not be used for the promotion of any organisation, company, individual or other entity or any project, product or service.

4.5 Unless expressly authorized in writing by IRENA, you shall not, in any manner whatsoever, use the name, emblem or official seal of IRENA, or any abbreviation thereof, in connection with your business or otherwise. If you become aware of any such distribution or commercial use, you agree to notify IRENA immediately at navigator@irena.org.

5. Disclaimer

5.1 The content provided on and/or through use of the IRENA Project Navigator, including without limitation text, graphics, data and statistics, is provided on an "as is" and "as available" basis, without any conditions, warranties or undertakings, either express or implied, from IRENA, its officials, employees, data or other third-party content providers, in respect of, inter alia, the accuracy, completeness, availability, reliability, fitness for a particular purpose or use, or regarding the non-infringement of third party rights.

5.2 IRENA has made highest effort to ensure and maintain accuracy of the content. It is, however, not possible to cover all aspects of renewable energy project development within the content of the IRENA Project Navigator. The content shall not, in any case, replace or be used instead of existing laws, regulations and official guidelines issued by relevant authorities in the respective countries. You understand that the content, including advice, opinions and recommendations provided on the IRENA Project Navigator are designed to help you gather the information you need to help you make your own decision. However, you are responsible for your own decisions and for properly analysing and verifying any information you intend to rely upon.

5.3 IRENA does not warrant that access to the Project Navigator will be uninterrupted, error-free, or free of viruses or other harmful components. You also understand that there are security, privacy and confidentiality risks inherent in using the IRENA Project Navigator.

5.4 IRENA reserves its right to terminate, suspend, change, update or discontinue in any way part or all of the IRENA Project Navigator, including the availability of any features of the website, or to impose limits on certain features and services or restrict your access to parts of the website, at any time without notice or any liability. The content may be out of date and IRENA makes no commitment to update it.

5.5 By accessing the IRENA Project Navigator, you accept that IRENA, its officials, employees, data or other third-party content providers, shall not, under any circumstances, be responsible or liable to you for any kind of loss, damage, liability or expense incurred or suffered (including all loss of profit, loss of use, loss of revenue, loss of contracts, increased costs and expenses and all special, indirect and consequential losses) which is claimed to result from access (or lack of access) to or use of IRENA Project Navigator, from reliance on the content thereon, or through links to third-party content.

5.6 Except where expressly stated, the content provided on the IRENA Project Navigator does not necessarily represent the views of IRENA and/or individual IRENA Members.

5.7 The designations employed and the presentation of information made by IRENA on the IRENA Project Navigator do not imply the expression of any opinion on the part of IRENA concerning the legal status of any region, country, territory, city or area or of its authorities, or concerning the delimitation of its frontiers or boundaries.

6. Third Party Content and Websites

6.1 The IRENA Project Navigator may contain advice, opinions, statements or any other content from third parties, referred to herein as "third party content", and may mention or refer to specific companies, certain products or information available on external websites.

6.2 IRENA does not represent or endorse the accuracy or reliability of any third party content. Reliance upon such content shall be at the user's own risk. Neither IRENA nor any of its officials, employees, data or other third-party content providers, shall be liable to any user or anyone else for any inaccuracy, error, omission, deletion, defect, alteration or use of any such content featured on the IRENA Project Navigator, or for its timeliness or completeness. The IRENA Project Navigator and its content do not represent any endorsement, preference or recommendation in respect of any particular project, product or service provider.

6.3 You acknowledge and agree that IRENA is not responsible for the availability of any third party websites or material accessed through the IRENA Project Navigator; nor for any content, advertising, products or services on or available from such websites or material.

7. Privacy policy

7.1 By accessing and using the IRENA Project Navigator, you understand that IRENA may collect:

(a) Personal Information (such as name, e-mail address, profession) when you register and create an account on the IRENA Project Navigator;
(b) Project specific information or other information you provide on your personal workspace (such as technology, location, size of the project) and that we may get from your uploaded files;
(c) Non-personally identifiable information that we may get from your access and use of the IRENA Project Navigator, including device-specific information such as your operating system version, log information such as your internet protocol address, location and time information, and any other similar information.

7.2 IRENA reserves its right to disclose any of the above information when required by applicable laws and regulations and/or requests under legal process; in case of suspected unlawful, improper or inappropriate conduct for referral to appropriate authorities; to detect, prevent or otherwise address breach of the present terms and conditions, or any related security or technical issues; to protect our property or rights; and to safeguard the interests of our users and/or IRENA Members.

7.3 IRENA reserves its right to use the above-referred information collected through your use of the IRENA Project Navigator:

(a) to provide, maintain, protect and improve the website, and to protect IRENA and the IRENA Project Navigator users;
(b) to understand how the users use the IRENA Project Navigator and better identify the categories of users of the IRENA Project Navigator and the data, tools and technologies they use;
(c) for statistical purposes.

7.4 In any of the above use, IRENA will ensure the protection of the confidentiality of the users and of any other sensitive information.

7.5 IRENA may use your personal information to communicate with you, including to inform you about changes or improvements to the IRENA Project Navigator or to resolve any issue arising out in the course of your use of the IRENA Project Navigator.

7.6 IRENA will ask for your consent before using information collected through your use of the IRENA Project Navigator for a purpose other than those set out in these terms and conditions.

7.7 IRENA assumes no responsibility for the privacy policies on any third-party websites.

8. Cookies Policy

8.1 Cookies may be in use throughout the IRENA Project Navigator to measure how users interact with the Project Navigator's content, and to provide users with a good experience browsing the website.

9. Indemnification and Settlement of Disputes

9.1 You agree to indemnify, defend and hold IRENA harmless from any liability, loss, claim, and expense related to your breach of these terms and conditions.

9.2 Any dispute, controversy or claim that arises between the users and IRENA in connection with the use of the IRENA Project Navigator shall be resolved in accordance with the United Nations Commission on International Trade Law (UNCITRAL) arbitration rules as at present in force.

9.3 IRENA is an international organisation which is entitled to privileges and immunities under international and domestic law. Permission to use the IRENA Project Navigator website does not constitute a waiver, express or implied, of IRENA's privileges and immunities.

10. Modification of Terms and Conditions

IRENA reserves the right to change or modify the present terms and conditions applicable to the use of the IRENA Project Navigator at any time. Such changes and modifications, including additions or deletions, to the terms and conditions shall be effective immediately upon notice thereof, which may be given by any means including, but not limited to, posting new terms and conditions on the IRENA Project Navigator website. Any use of the IRENA Project Navigator after such change or modification shall be deemed to constitute acceptance by you of such changes or modifications, including additions or deletions.
